LEGAL NEWSLETTER – APRIL 2026: KEY HIGHLIGHTS OF THE INVESTMENT LAW 2025
BNA Legal is pleased to introduce the Legal Newsletter for April 2026 with the topic: “Analysis of Key Changes in the Investment Law 2025.”
The Investment Law 2025, together with its new guiding decrees, introduces a number of significant changes, reflecting a strong reform direction in Vietnam’s investment sector. The key highlights of the new regulations include streamlining administrative procedures, enhancing decentralization to local authorities, expanding investor autonomy, and gradually shifting from a pre-approval mechanism to a post-audit approach.
Notably, foreign investors are now allowed to establish enterprises prior to obtaining an Investment Registration Certificate, thereby providing greater flexibility in project preparation in Vietnam. In addition, the list of conditional business sectors has been streamlined; certain procedures for adjusting investment projects have been reduced; the operational duration of some projects has been extended; special investment procedures have been introduced for prioritized sectors and areas; and outbound investment procedures have also been significantly simplified.
These changes are expected to create a more favorable investment environment, reduce compliance costs, and shorten project implementation timelines. However, the increased level of autonomy also requires investors to be more proactive in conducting legal due diligence, managing compliance, and assessing risks before proceeding with investment activities.
